Terms and Conditions of Services Provided

1.     THESE TERMS

1.1.  What these terms cover

1.1.1.      These are the terms and conditions (“Terms”) on which we will provide our services (“Services”) to you

1.1.2.      These Terms provide outline details of the contract(s) (“Contract(s)”) you may enter in to with us

1.1.3.      These Terms do not and should not replace or be a substitute for the details set out in any specific Contractual arrangements between us and our customers, including matters such as Intellectual Property Rights

2.     DEFINITIONS

2.1.  The following definitions are used hereafter:

2.1.1.      RELENTLESS IT LIMITED T/A EXECODE (“our”, “us”, “we”)

2.1.2.      Customer (“you”, “your”)

2.2.  Why you should read them:

2.2.1.      Please read these Terms carefully before you engage our Services. These Terms (together with our Privacy and Cookies Policy and Terms of Use) govern our relationship with You in relation to the Services we provide. These Terms tell you who we are, how we will provide our Services, how you and we may to change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake or omission within these Terms, please contact us to discuss

2.2.2.      By instructing us to provide Services for you, you agree to be bound by these Terms, and by continuing to access them you agree to accept the practices described in these Terms, which may be updated or changed by us from time to time and with appropriate notice

When we use the words "writing" or "written" in these Terms, this primarily means email

4.     OUR CONTRACT WITH YOU

4.1.  Commissioning our Services:

4.1.1.      Any enquiries regarding commissioning our Services should be made either by completing the online enquiry form on our Website or by emailing us at hello@execode.co.uk

4.1.2.      A written instruction by you will be deemed as your acceptance of these Terms and Conditions. Completion of Contract between you and us will take place once the agreed Services have been provided by us

5.     OUR SERVICES

5.1.  The range of Services we provide is subject to review and change

5.2.  All Services provided are in good faith and their scope, pricing and associated projected timescales will be agreed prior to Contract

6.     PRICING

6.1.  The pricing for all of our Services is calculated on an individual, case-by-case basis, as no two customer’s requirements are the same. Information regarding day rates, estimated costs and typical pricing models is available on request

6.2.  Complete transparency regarding how our pricing is calculated will be shared prior to Contract agreement and the commencement of any works

7.     YOUR RIGHTS TO MAKE CHANGES

7.1.  If you wish to make a change to your Contract with us, please contact Us. We will let you know if the change is possible. If it is possible, we will let you know about any changes to the pricing for our services, the timing of delivery or anything else which would be necessary as a result of your requested change and ask You to confirm whether you wish to go ahead with the change. If We cannot make the change or the consequences of making the change are unacceptable to you, then you may want us to terminate the Contract (see clause 8 below – our rights to end the Contract)

8.     OUR RIGHTS TO MAKE CHANGES

8.1.  We may change/vary the Contract:

8.1.1.      to reflect changes in relevant laws and regulatory requirements; and/or

8.1.2.      to implement minor improvements

8.2.  In addition, we may make changes to these Terms or the Contract, but if we do so we will notify you and, if you wish to do so, you may then contact us to end the contract before the changes take effect and receive a refund for any Services paid for but not received

9.     OUR RIGHTS TO END THE CONTRACT

9.1.  We may end the Contract if you breach it

9.2.  We may end the Contract for a Service at any time by writing to you if:

 

·       You do not make any payment to us when it is due, and you still do not make payment within 14 days of us reminding you that payment is due;

·       You do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to proceed with dispensing our Services. For example, any content we may need from you; or

·       You do not, within a reasonable time, allow us to complete any outstanding works on your behalf

9.3.  You must compensate us if you break the contract

9.3.1.      If we end the contract due to one or more of the situations set out in clause 9.2 above, we will refund any money you have paid in advance for any works/Services we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking of the Contract

9.3.2.      In some circumstances, due to events beyond our control, we may have to cancel a Contract before our Services are delivered

9.4.  Cancelling if there is an event outside our control:

9.4.1.      If we cancel:

·       We will promptly contact you to let you know; and/or;

·       if you have made any payment in advance for Services that have not been delivered to you, we will refund these amounts to you

10.  IF THERE IS A PROBLEM WITH THE SERVICES PROVIDED

10.2.               Nothing in these Terms will affect your legal rights

11.  PRICE AND PAYMENT

11.1.               When payment will be due:

11.1.1.   Under most circumstances, an invoice will be raised for any works completed as/when it has been completed. This may mean that phase of work (i.e. design phase) or the entirety of the works for smaller commissions. Prior to any works being undertaken, outline costs and a payment schedule will be devised, shared, and agreed

11.1.2.   Payment should be made by no later than 10 working days after sign-off/completion. We reserve the right to seek financial recompense if prompt payment is not made

11.2.               We will pass on changes in the rate of VAT:

11.2.1.   If the rate of VAT changes between your Contract start date and the date We provide our Services, we will adjust the rate of VAT that you pay, unless you have already paid for the Product in full before the change in the rate of VAT takes effect

11.3.               When you must pay and how you must pay:

11.3.1.   All payments should be made by BACS transfer to the business bank account below, with the invoice number used as the transaction reference

12.  HOW WE MAY USE YOUR PERSONAL INFORMATION

12.1.               We will use the personal information you provide to us:

·       to supply our Services to you;

·       to process your payment for our Services to you; and

·       if you agreed to this during the Contract agreement process, to give you information about similar Services
